What does Deed mean?

Deeds are written agreements but differ from contracts in that the limitation period is 12 years and consideration is not required. There are very few categories of transactions that require execution by deed but they are transfers of land, leases, mortgages and charges, sales by mortgagees, appointments of trustees, powers of attorney and gifts.

Individual transfers in DB occupational pension schemes—checklist Statutory right to cash equivalent • Members of defined benefit occupational pension schemes have a statutory right to transfer the cash equivalent value of their scheme benefits to certain other pension arrangements. • Since 30 November 2021, this statutory right to transfer is subject to the satisfaction of either of two conditions set out in the Occupational and Personal Pension Schemes (Conditions for Transfers) Regulations 2021, SI 2021/1237 (Conditions for Transfer Regs). Arbitration analysis: In Eronat v CNPC International and another, the parties had agreed to a bespoke contractual provision entitling parties to appeal an award within 30 days from the date at which the arbitral decision was ‘rendered’. This was in contrast to the default position under the LCIA Rules where there is no right to appeal. In construing the word ‘rendered’ very strictly and dismissing an appeal under section 69 of the Arbitration Act, the court found that time started running the date that the award was made, rather than the date the award was notified to the parties. The judgment serves as an important reminder for parties to act promptly when faced with contractual time limits, particularly when they relate to the challenge of arbitral awards. Construction analysis: The Technology and Construction Court (TCC) enforced an adjudicator’s decision relating to claims under the Defective Premises Act 1972 (DPA 1972) on a site that was completed 20 years prior to the claim being brought. In doing so, it rejected arguments from the defendant contractor around clarity and crystallisation of the claim itself, that the adjudicator had no jurisdiction to decide a claim under the DPA 1972, inequality of arms in terms of documentation and that the adjudicator had failed to consider a defence in relation to an allegation of concealment.

(1) A document is validly executed by a company as a deed for the purposes of section 1(2)(b) of the Law of Property (Miscellaneous Provisions) Act 1989 (c 34) and for the purposes of the law of Northern Ireland if, and only if—(a) it is duly executed by the company, and(b) it is delivered as a deed.(2) For the purposes of subsection (1)(b) a document is presumed to be delivered upon its being executed, unless a contrary intention is proved.
